Swedish Match and Philip Morris International announce global joint venture to commercialize smokefree tobacco products

Swedish Match AB [publ] and Philip Morris International [NYSE/Euronext Paris: PM] (PMI) today announced that they have entered into an agreement to establish an exclusive joint venture company to commercialize Swedish Snus and other smokefree tobacco products worldwide, outside of Scandinavia and the United States.

The joint venture will utilize the strong combination of Swedish Match’s product development and manufacturing expertise in the smokefree category and PMI’s extensive sales and distribution infrastructure to develop business opportunities worldwide. Under the agreement, each company will own a 50% stake and will license their respective trademarks and intellectual property to the joint venture.

“PMI is the ideal strategic partner for Swedish Match in the smokefree category. This agreement provides us with the opportunity to bring our quality products to consumers across a broader geography,” said Lars Dahlgren, Swedish Match President and CEO. “The smokefree category has demonstrated substantial growth in Sweden and Norway over a number of years and we believe that smokefree tobacco products, and especially Swedish Snus, have potential outside of their current markets.”

“We are delighted to join forces with Swedish Match and are confident that this exclusive partnership will over time generate strong results for the benefit of our respective shareholders,” said Louis Camilleri, Chairman and CEO of PMI.

Snus has been recognized by many in the scientific and public health community to be significantly less harmful than cigarette smoking. Both companies believe that there is a role for snus to play in tobacco harm reduction.

The joint venture will be based in Stockholm and the board of directors will consist of six members, with three nominated by each company.

my only worry is also that PM will alter the recipe of traditional Swedish Snus with additives.

But on the plus side they may have the muscle to convince the EU government to lift the sales ban.

I am extremely interested in seeing where this is going to lead. I am a bit confused though. PM just completed it's purchase of UST, makers of Skoal, and Copenhagen. Wouldn't UST and SM be competing for the same market? Or do you think that PM wants to help and profit from the possible expansion of SM snus in the EU? Perhaps PM just wants to "keep tabs" on SM? Whats the motive on PM's part here?

maybe PM is thinking that the future of tobacco is in the smokeless market and they don't want to miss out. Even if they buy/partner with competing business they still will make money. I know people who chew that won't even touch the snus I offer them {(mostly backwood types) no offense tex, haha}. So being associated with both companies will expand their profits in an ideal world.

If they screw with the recipe, you can always choose snus from other companies such as Skruf AB, F&L, and Gotlands.

Philip Morris USA purchased UST. Philip Morris International is now separate from Altria Group and PMUSA. As well, snus is more appealing to international markets, since no spitting is required. PMUSA acquired UST because its products are popular solely in America.

No need to worry. The PMI and SM venture will not affect their Swedish made snus. However, the two companies will most likely develop modified or completely new products for countries outside Scandinavia. For example, they might develop a soy flavored snus for the Japanese market. Hell, all the burgers at Japanese McDonald's are cooked in soy.

If this equates to the sale of General ES in the US, then I'm a happy camper. If it means General portions with "flavor strips" (you old-skoolers know what I'm talking about), then I'm declaring war...

As I stated there my only concern is that PM will start to mess with the product. That would be a tragedy. I am all for wider distribution - and hopefully one day a lifting of the EU ban on snus
